Terms of Service

Introduction

These Terms of Service (“Terms”) govern your access to and use of Expend Stat (the “Service”), an analytics platform that aggregates and displays read-only Google Ads spend data on your behalf. The Service is operated by the Expend Stat team (“Expend Stat”, “we”, “us”, “our”).

Please read these Terms carefully. By accessing the Service, completing the Google OAuth authorization flow with Expend Stat, or signing in to the Expend Stat dashboard, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Service.

1. Acceptance of terms

By using the Service, you represent that (a) you are at least the age of majority in your jurisdiction, (b) you have full legal capacity to enter into these Terms, and (c) if you are using the Service on behalf of an organization, you have the authority to bind that organization to these Terms.

2. The service

Expend Stat is a read-only spend analytics platform for Google Ads. Its features include:

• Authorizing your Google Ads accounts through Google’s standard OAuth 2.0 flow;
• Reading daily spend metrics and account hierarchy from the Google Ads API;
• Displaying that data in dashboards, charts and exportable tables for the authorizing user and other users that the user’s organization administrator has granted access to.

The Service is provided “as is”. We may release new versions, add or remove features, change limits, or alter the user interface from time to time, including without prior notice when required for security or compliance reasons.

3. Account and authorization

• You need an Expend Stat account to access the dashboard. You are responsible for keeping your credentials confidential and for all activity that occurs under your account.
• Google OAuth authorization is performed entirely through Google’s consent flow. The scope, validity and revocation of that authorization are governed by Google’s policies in addition to these Terms.
• You represent and warrant that you have the right to authorize Expend Stat to access the Google Ads accounts that you grant us access to. You must not authorize Expend Stat against accounts that you are not entitled to view.

4. Acceptable use

When using the Service, you agree that you will not:

• Authorize Expend Stat to read data from Google Ads accounts that you are not entitled to access;
• Attempt to reverse engineer, decompile, or perform unauthorized security scans or denial-of-service attacks against the Service;
• Attempt to bypass authentication, rate limits, or access controls, or to access data belonging to other users or organizations;
• Use the Service in a manner that violates applicable law, the Google API Services User Data Policy, the Google APIs Terms of Service, or Google’s advertising policies;
• Sell, transfer, or otherwise misuse data that the Service obtains from Google APIs, or use that data for any purpose other than the spend analytics that the Service provides.

We may suspend or terminate access in response to suspected violations of this section, without limiting any other remedy available to us.

5. Compliance with Google policies

Your use of the Service is also subject to the following Google policies, as applicable:

• Google API Services User Data Policy (including the Limited Use requirements);
• Google APIs Terms of Service ;
• Google Ads policies .

Our own commitments under the Limited Use requirements are described in Section 5 of our Privacy Policy.

6. Read-only commitment

We commit that the Service will only ever issue read-only queries against the Google Ads API. We will not modify your campaigns, ad groups, ads, keywords, budgets, bidding strategies, audiences, or conversions, and we will not place or manage payments on your behalf. For details, see Section 6 of our Privacy Policy.

7. Intellectual property

• The Service, including its source code, design, content, marks and logos, is the property of Expend Stat and is protected by applicable intellectual property laws.
• Nothing in these Terms grants you a license to use any Expend Stat name, logo, trade dress, or other brand element in a way that suggests endorsement, partnership, or affiliation that does not exist.

8. Your data, your control

• You retain all rights to the underlying Google Ads data that the Service reads on your behalf. We do not claim ownership of it.
• The aggregated spend statistics displayed in the dashboard are stored in our database solely to serve them back to you. You may request export or deletion at any time per our Privacy Policy.
• You can revoke authorization at any time from your Google Account, and you can request deletion of your Expend Stat workspace by emailing us.

9. Third-party services

The Service depends on third-party services, including Google OAuth, the Google Ads API and Google’s OAuth user-info endpoints, and on cloud infrastructure providers. Availability, quotas and policies for those services are determined by their respective providers. We are not liable for outages or feature limitations caused by those third parties, although we will make commercially reasonable efforts to keep the Service running smoothly.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF DATA.

Spend figures shown in the dashboard are derived from the Google Ads API. They may differ from the values shown in the Google Ads console because of Google’s own data latency, retroactive adjustments, time-zone differences, currency conversion, or our synchronization cadence. You should independently verify any figure used for financial, accounting, or contractual decisions; the Service is not intended to be the sole source of truth for such decisions.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EXPEND STAT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES (INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION) ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID US FOR THE SERVICE IN THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) USD 100.

12. Termination

• You may stop using the Service at any time by revoking your Google OAuth authorization and asking us to delete your account.
• We may suspend or terminate your access if you materially breach these Terms, if required by law, or if we reasonably believe continued access poses a security or policy risk.
• Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, governing law, and contact) will survive.

13. Governing law

These Terms will be governed by and construed in accordance with the laws applicable at the location of the Expend Stat operator, without regard to its conflict of laws principles. Any disputes arising out of or relating to these Terms or the Service will be resolved exclusively in the courts having jurisdiction at that location, unless mandatory law in your jurisdiction provides otherwise.

14. Changes to these terms

We may update these Terms from time to time. When we do, we will update the “Effective date” and “Last updated” fields at the top of this page. For material changes we will additionally surface a notice inside the Expend Stat dashboard. Continued use of the Service after such updates constitutes acceptance of the revised Terms.
